Toshiba Prepares For $14 Bn Deal To Go Private

Toshiba said a previously announced scheme to take the troubled Japanese conglomerate private in a deal worth around $14 billion will launch on Tuesday.

The move comes after years of turmoil for the company, which once symbolised Japan’s economic might but more recently has been mired in scandals, financial turmoil and resignations.

The Japan Industrial Partners-led consortium taking control in the nearly two trillion yen deal includes 17 Japanese firms and six Japanese banks.

In March, Toshiba said the tender offer will be called off if the consortium failed to buy at least 66.7 percent of the outstanding shares.

The price is set at 4,620 yen per share and 30 business days, according to the website on the tender offer, slightly higher than Monday’s closing price of 4,584 yen.

Toshiba on Monday reported a net loss of 25.3 billion yen for the first quarter because of a drop in demand at chip firm Kioxia, in which it retains a 40 percent stake.

Two years ago, a bombshell buyout offer from private equity fund CVC Capital Partners put a question mark on the conglomerate’s future.

After the CVC offer was dropped, plans were floated to split the company up and spin off its device segment — meeting stiff opposition from some investors.

Toshiba grew into a vast conglomerate but has been in upheaval since it was rocked by a profit-padding scandal in 2015.

The company also suffered from huge losses at its US nuclear subsidiary, followed by a recovery that brought pressure from new activist shareholders.

Mystery In Dubai As Mega-Wheel Stops Turning

Two years ago, Dubai’s skyscraper-studded skyline welcomed a Ferris wheel touted as the world’s largest, but it mysteriously stopped turning just months after opening.

The much-touted Ain Dubai (Dubai Eye) was designed as a tourist-luring landmark in the United Arab Emirates’ glam-hub, which is home to the world’s tallest building.

But now it stands idle for undisclosed reasons, its extravagant light fixtures the only parts seemingly still working.

“Ain Dubai remains closed until further notice,” says an official website for the attraction.

“We continue to rigorously work on completing the enhancement works that have been taking place over the past months.”

The wheel was supposed to close for just a month but its reopening has since been postponed indefinitely.

Those behind the project inaugurated in 2021 have failed to reply to enquiries.

At restaurants, shops and cafes built around the attraction, employees remain sceptical that the structure, which took around six years to build, will ever turn again.

“Last year they promised us that in winter it will be open, even now, they are saying that in (the coming) winter it will be open again,” said one employee at a nearby shop.

“But we’re not sure… it will,” said the man who asked to remain anonymous due to fear of reprisal.

‘Too slow’

The Dubai Eye, built by a consortium of international companies, is located in Bluewaters — a man-made island designed as a retail, residential and entertainment hub.

For more than a year, the main entrance to the attraction has remained closed and ticket booths abandoned. Only a slow trickle of tourists visit the site, snapping pictures of LED lights mounted on its exterior.

“I asked a security guard here about it and he told me that it doesn’t work,” said Marwan Mohammad, an Egyptian tourist.

“I asked him for the reason but he did not give me an answer,” said the 33-year-old business consultant.

In a city filled with record-breaking landmarks, the Dubai Eye stands at a height of 250 metres (825 feet), each of its legs the length of 15 London buses, according to Dubai’s tourism department.

Nearly twice as tall as the London Eye, it is the largest of its kind in the world.

Its 48 passenger cabins, all of them air-conditioned, can carry around 1,750 passengers on a single ride.

Ticket prices range between 100 dirhams (about $27) and 4,700 dirhams (about $1,280), with luxury passes and private cabins on offer.

“The view was very beautiful from above,” said Mohammad who experienced the 38-minute ride before it closed, adding however, that it moved “too slowly”.

‘Heavier than island’

With no official explanation, rumours are rife on the Ferris wheel’s apparent technical issues, especially among employees at Bluewaters.

They all spoke on condition of anonymity, fearing repercussions from authorities or their employers.

“This is a man-made island. I heard that (the wheel) is heavier than the island itself, that’s why it is very dangerous,” said a waiter at a nearby restaurant, adding that it had been noisy during its few months of operation.

“Now… it’s only for show, just for the lighting and that’s it”.

The giant wheel, made of more steel than the Eiffel Tower, features prominently on the list of Dubai’s top tourist attractions.

They include the Dubai Frame monument and Burj Khalifa, the world’s tallest building.

Patrick Clawson, research director at the Washington Institute for Near East Policy, said official silence on the Ferris wheel suggested a complicated problem.

UAE authorities are generally “quick to provide information if they” have a solution, he said.

But with the Dubai Eye, “whatever the problem, the authorities are not confident they have a solution,” he told AFP.

Poisons Board Bans Sale, Use Of Vaginal Detox Yoni Pearls

The Pharmacy and Poisons Board (PPB) has warned Kenyans against using “Yoni Pearls” or similar unregistered products in the country.

In a statement on Monday, the regulators said the products, also referred to as herbal tampons, cleansing pearls, or vaginal pearls, are not registered and licenced for use in the country.

“The PPB notifies the public that Yoni pearls is neither registered nor authorised for use in Kenya as required under the Pharmacy and poisons Act Cap 244,” PPB CEO Fred Siyoi said.

“Therefore their usage poses potential health risks as the PPB cannot guarantee their quality safety and efficacy. In light of this, PPB strongly advices against the distribution, supply, sale or use of the aforementioned product and any other unregistered products with similar claims.”

PPB has additionally requested that members of the public and medical professionals report any dubious health items and technology to the board via the website or the USSD code *271#.

The Pharmacy and Poisons Act, Chapter 244 of the Laws of Kenya, established the Pharmacy and Poisons Board as the Drug Regulatory Authority.

The manufacture, distribution, and sale of pharmaceuticals and poisons are all subject to regulation by the Board.

It aims to implement the necessary regulatory procedures to attain the highest standards of safety, efficacy, and quality for all medications, chemicals, and medical devices.

These include locally produced, imported, exported, distributed, sold, or used items to ensure the consumer’s protection as intended by the drug control laws in effect in Kenya.

KFS Appoints Alex Lemarkoko As Chief Conservator Of Forests

The Board of Kenya Forest Service officially appointed Mr. Alex Lemarkoko as the Chief Conservator of Forests, with effect from 2nd August 2023.

This follows a successful interview process that was conducted by the KFS Board on 31st July 2023.

Mr Alex Lemarkoko has a wealth of experience since joining the former Forest Department in 1991.

He has served in various capacities, starting as an Assistant District Forest Officer and later on he was promoted to District Forest Officer and served in about ten Counties.

He later moved to the KFS Headquarters Forest Protection and Security function.

Due to exemplary performance, he rose through the ranks to the position of Commandant in charge of Protection and Security. Mr Lemarkoko was appointed in an acting capacity as the Chief Conservator of Forests in February 2023.

The new Chief Conservator of Forests holds a Bachelor of Science degree in Forestry from Moi University and a Master of Arts in International Studies from the University of Nairobi.

He is also a graduate of the National Defence College, Kenya. Mr Lemarkoko has also undertaken several short courses and he has a wealth of experience representing KFS in various local and international Forestry Forums.

Mr Lemarkoko is also a focal point for Africa Cross border timber trade and Forest Management Forum. He is also a member of the Forestry Society of Kenya.

Van De Beek In Talks With Real Sociedad

Manchester United midfielder Donny van de Beek is in talks with Real Sociedad about a move away from Old Trafford.

United paid £35m for the Netherlands international, 26, three years ago.

However, he has failed to make an impression in the Premier League and not even the arrival of his former Ajax boss Erik ten Hag last year has turned the situation around.

Van de Beek started Sunday’s final pre-season game against Athletic Bilbao in Dublin, but was replaced at half-time.

He is one of a number of fringe players United are keen to move on, to generate more funds for Ten Hag to add to his squad this summer.

Goalkeeper Dean Henderson could go back to Nottingham Forest where he spent last season on loan, but his situation is complicated by the thigh injury he suffered in January that has prevented him from playing any pre-season games.

Ivory Coast defender Eric Bailly has been told he can find a new club and is not part of Ten Hag’s plans.

Meanwhile, Fulham remain interested in Brazil midfielder Fred, but a firm offer is yet to materialise.

Messi Scores Another Stunning Brace For Inter Miami

Lionel Messi’s stunning brace helped Inter Miami seal a dramatic victory against FC Dallas to reach the quarter-finals of the Leagues Cup on Sunday.

FC Dallas led 4-2 with 10 minutes left but two late goals took the game to a penalty shootout.

Miami won the shootout 5-3 at Toyota Stadium in Frisco, Texas.

“Being 4-2 down in the 80th minute and then coming back, we are very happy with the result,” Miami manager Gerardo Martino said.

“But the fact that we have gone through shouldn’t let us lose sight of the things that we have to improve.”

Miami were winless in 11 before Messi’s arrival but have now won four in a row.

The former Barcelona and Paris St-Germain forward opened the scoring after six minutes, sweeping a curling shot inside the near post from outside the penalty area, but Dallas were 3-1 ahead with just over an hour played.

Midfielder Benjamin Cremaschi reduced the deficit for Miami but a Robert Taylor own goal restored Dallas’ two-goal cushion.

Miami were given hope in the 80th minute when Marco Farfan headed a Messi cross into his own net, before the 36-year-old World Cup winner curled home a stunning free-kick to level the tie five minutes later, taking his tally to seven goals in four appearances.

Messi set Miami on their way in the penalty shootout with former Barcelona team-mate Sergio Busquets also keeping his cool from 12 yards as Paxton Pomykal’s miss for Dallas proved costly.

Inter Miami are the first club to secure a place in the quarter-finals of the Leagues Cup, which debuted in 2019 and involves teams from the United States and Mexico competing in a knockout format.

Mbappe Will Not Train With PSG First-Team Squad

Kylian Mbappe will not train with the Paris St-Germain first-team squad when they step up preparations on Monday for the start of the Ligue 1 season.

Mbappe has been in a contract stand-off with PSG amid a desire to join Real Madrid.

The club’s all-time leading goalscorer is refusing to sign a year’s extension to his contract which ends next summer.

PSG, therefore, want to sell the France forward now and secure a transfer fee rather than let him go for nothing.

As a result, Mbappe was left out of PSG’s touring squad for their pre-season trip to Asia.

He subsequently refused to meet with representatives of Al-Hilal, who made a world-record offer to bring him to the Saudi Pro League.

PSG begin their French title defence at home to Lorient on Saturday and it is understood Mbappe will train with the ‘loft’ group rather than the ‘A’ training group, which is players who could feature for the first team.

PSG sources say their most recent attempt to broker a solution to the situation was to offer Mbappe a guaranteed sale clause in his contract for the end of this season. This offer was rejected.

After years of underachievement at Champions League level with their ‘galactico’ model of signing superstar players, PSG are now going down a different path and are understood to be close to completing a deal for Benfica’s Goncalo Ramos.

The 22-year-old scored a hat-trick for Portugal at last year’s World Cup in Qatar and has attracted interest from numerous top European clubs.

PSG are expected to pay 80m euros (£69m) for the forward.

Arsenal Have Proved They Can Slug It Out With Man City – Arteta

Mikel Arteta believes Arsenal’s Community Shield victory against Manchester City proves they can go toe to toe with the treble winners in the Premier League title race.

Arteta’s side issued a significant statement of intent ahead of the new season by fighting back to beat City 4-1 on penalties after a 1-1 draw at Wembley on Sunday.

Cole Palmer’s superb curler had given City a 77th-minute lead, but Arsenal refused to surrender and Leandro Trossard equalised with a deflected effort 11 minutes into stoppage time.

It was the kind of lucky break that deserted Arsenal when they blew an eight-point lead in the title battle last season, allowing City to extend their Premier League reign with a fifth crown in six seasons.

The Gunners took full advantage of Trossard’s fortuitous leveller, converting all four of their penalties in the shoot-out while Kevin De Bruyne hit the bar and Rodri’s effort was saved by Aaron Ramsdale.

Fabio Vieira’s winning penalty sparkled wild celebrations from Arteta and his players in a cathartic moment after their title misery.

With the new Premier League season starting on Friday, Arteta is convinced his side’s Wembley escape act will bode well.

“It’s great if the players are convinced they can beat every team. I think we showed a real determination and fight to win the game,” Arteta said.

“We deserved to win against a team that has played in so many finals.

“It doesn’t get much better than winning a trophy at Wembley against the best team in the world.”

Offering further encouragement for Arteta were solid debuts from close-season signings Declan Rice and Jurrien Timber in central midfield and left-back respectively.

Kai Havertz, Arsenal’s other major recruit since last season, was less impressive, missing two golden opportunities in a continuation of the erratic form that convinced Chelsea to sell him.

Arteta defended Havertz, saying: “Havertz was superb, the way he pressed, he was in great positions to score. I was very pleased with him.”

’WE CAN DO BETTER’

The Arsenal manager also stuck up for the new time-wasting rules that led to eight minutes of stoppage time, plus an additional five minutes on top of that due to injuries in the extra period.

“We are going to have to be prepared to play 100 minutes because it is going to happen every week. It’s good because it was going too far the other way,” he said.

As the victim of the stoppage-time increase on this occasion, it was no surprise City boss Pep Guardiola disagreed.

“It’s a good question for the international board because they don’t consult with managers and players. Now the games will be 100 minutes,” he said.

“Nothing happened today and there was eight minutes. If the score is 4-3, you put 45 seconds on for seven goals, tomorrow morning I am still here playing!”

Rarely has the Community Shield winner gone on to clinch the Premier League in recent seasons, so Arteta was quick to urge his players not to rest on their laurels ahead of Saturday’s season opener against Nottingham Forest.

“You win a trophy today, tomorrow you have to train and prepare the Forest game, which will be a very different game to this. It lifts the spirit but that’s it,” he said.

After becoming only the second English club to win the Premier League, Champions League and FA Cup in a single season, City must show they still have a desire for success.

Although Arsenal looked the more hungry side for long periods at Wembley, Guardiola had no complaints about City’s subdued performance.

“I’m surprised how good we behaved. We faced an extraordinary team. The thing was to get minutes to the players and get ready for Burnley on Friday,” he said.

“We finished an incredibly stressful season. I know how difficult this can be. We can do better, that is the target.”

Keen to ensure the loss was kept in perspective, Guardiola reminded his audience that defeats in the previous two Community Shields had been followed by City titles.

“We lost three in a row. Do you know why? Because we won the Premier League to be here!” he said.

Barcelona Bank On Gundogan, Lewandowski Experience

Barcelona claimed their 27th LaLiga title and first for four years last season led by coach Xavi Hernandez, relying on a mixture of young talent and seasoned veterans like striker Robert Lewandowski who was the league’s top scorer.

They recruited experienced midfielder Ikay Gundogan, who captained Manchester City to the Premier League, FA Cup and Champions League treble last season, ending a successful seven-year stint in England during which he won 12 major trophies.

Gundogan will help mentor a young Barca squad as they try to retain the LaLiga crown and get back to winning ways in the Champions League after years of European disappointments.

They exited at the group stage of Europe’s top club competition for the second year in a row last season and were knocked out of the Europa League by Manchester United.

Barcelona have won the Champions League five times, most recently in 2015, and face a tough task to get back to the top table of European football after being forced to sell club legend Lionel Messi due to financial problems.

Their outstanding domestic campaign was somewhat overshadowed by turmoil off the pitch including deepening financial issues and a refereeing scandal that could drag on for years.

Spanish prosecutors in March filed a complaint over alleged payments Barcelona made from 2001 to 2018 totalling 7.3 million euros to firms owned by former refereeing official Jose Maria Enriquez Negreira.

A Barcelona court has agreed to take on the case and Uefa has provisionally cleared the club to compete in this season’s Champions League despite ongoing investigations.

They will not be able to play at their beloved Camp Nou for the next few seasons as they have agreed a financing deal worth 1.45 billion euros to renovate the iconic but outdated stadium.

The 100 000-seater Camp Nou was the club’s biggest source of income and they will be forced to be creative to stay competitive within the restrictions of LaLiga’s Financial Fair Play (FFP) rules.

Gundogan’s arrival, Lewandowski’s consistency, reliable goalkeeper Marc-Andre ter Stegen and young players like Pedri, Gavi, Ronald Araujo, Luuk De Jong and Jules Kounde give Xavi a plenty of reasons to be optimistic.

But he suffered a big blow last week with news of the imminent departure of French winger Ousmane Dembele who is joining Paris St Germain.

Barcelona begin their LaLiga defence on Sunday in the Spanish capital against Getafe and although the fans are still celebrating last season’s romp to the title, there is plenty for them to be concerned about.

Kane Strikes Four As Tottenham Sweeps Shakhtar Donetsk

Harry Kane scored four goals as Tottenham Hotspur beat Shakhtar Donetsk 5-1 in their final pre-season friendly before the start of the Premier League.

Kane’s future at Spurs remains the subject of intense scrutiny with a year left on his contract and Bayern Munich stepping up their interest in him.

And the 30-year-old put on a typically clinical display to remind Spurs what they will be missing should he leave.

Kane’s England team-mate Harry Maguire, however, endured another mixed day.

The Manchester United defender, 30, was booed by Red Devils fans after his errant pass led to Athletic Bilbao’s opener in Dublin – but he later made amends by setting up Facundo Pellistri’s stoppage-time equaliser.

Maguire’s treatment was far from the rapturous welcome handed out in north London to Kane, who was also given the captain’s armband against the Ukrainian champions by manager Ange Postecoglou.

The match was new boss Postecoglou’s first game in charge in front of his own supporters at Tottenham Hotspur Stadium, with Spurs’ two previous friendlies having taken place during a tour of Asia.

And it will have left the Australian keener than ever to retain the services of Kane, who produced a virtuoso performance in what Spurs fans will hope was not a farewell with a flourish.

The striker has featured in all three Spurs friendlies this summer and played more than 80 minutes on Sunday, coming off just after his fourth goal and prompting loud ‘we want you to stay’ chants from supporters.
